CMS advises CTS EVENTIM in negotiations with Fnac Darty on strategic ticketing partnership in France

Hamburg – CTS EVENTIM, a leading international ticketing and live entertainment provider, and French retail company Fnac Darty have agreed to continue exclusive negotiations on a strategic partnership in the French ticketing market. Details were recorded in a Memorandum of Understanding on 24 July 2019. The objective of the negotiations is that CTS EVENTIM should merge its French ticketing business with France Billet and initially acquire 48% of the shares in France Billet, which is one of the leading ticketing companies in France and wholly owned by the Fnac Darty Group. If the transaction is successfully completed, CTS EVENTIM will have the option of acquiring a majority stake in France Billet at a later date.

A CMS team headed by lead partner Dr Henrik Drinkuth advised CTS EVENTIM on all legal aspects of the negotiations with Fnac Darty.

CTS EVENTIM is a leading international provider of ticketing and live entertainment services. In 2018, around 250 million tickets were marketed using the company’s systems – through stationary box offices, online or mobile channels. CTS EVENTIM AG & Co. KGaA has been a listed company since 2000 and is currently a member of the SDAX. A total of 3,141 employees across 21 countries generated sales of more than EUR 1.2 billion in 2018.

With operations in twelve countries, Fnac Darty is one of Europe’s leading retail companies for entertainment, leisure, consumer electronics and household appliances. The group employs around 25,000 people and has a network of 780 stores, of which 571 are located in France.
