CMS advises engineering firm Homag on acquisition of shares in Benz GmbH

Stuttgart – The Homag Group from Baden-Württemberg, which already has a 51% stake in Benz GmbH Werkzeugsysteme, has now acquired the shares held by the minority shareholder in this joint venture, the Zimmer Group. The deal will be settled in two tranches: Homag is acquiring 24% of the shares with immediate effect, the remaining 25% of the shares in the business will then pass to the Homag Group after two years.

A CMS team headed by lead partner Dr Peter Baisch provided the Homag Group with legal advice on the transaction.

Schopfloch-based Homag Group is a world-leading manufacturer of machines and equipment for the woodworking industry. It is majority-owned by the Dürr Group. The company operates in more than 100 countries and has a world market share of around 30%.

Benz GmbH Werkzeugsysteme is one of the world's leading manufacturers and providers of components and systems for tool and machine technology. The company has some 290 employees and operates worldwide in more than 30 countries. Its product portfolio includes the development and manufacture of advanced tool systems for lathes, machining centres and transfer lines used in the processing of metal, wood and composites.
