CMS advises IT service provider EWERK on investment by NORD Holding

Leipzig – NORD Holding Unternehmensbeteiligungsgesellschaft mbH has acquired a majority stake in EWERK, a full-service IT service provider. The founders and CEOs of EWERK, Hendrik Schubert and Dr Erik Wende, retain a significant holding in the company and will keep their positions. The transaction is currently awaiting merger approval from Germany’s Federal Cartel Office. Further details of the transaction were not disclosed.

A CMS team headed by M&A partner Dr Jörg Lips advised the EWERK shareholders on all legal aspects of the transaction and the preceding international investor process.

EWERK is a leading IT service provider. The company was established in 1994. Its service portfolio is geared towards regulated end customers and covers the entire technological lifecycle: from IT project consulting, software development & design, transition management and enterprise IT outsourcing to operating its own data centres and critical infrastructure, as well as business process outsourcing. Its customers include European companies from the energy, healthcare and mobility industries and the public sector. EWERK has more than 200 employees.

NORD Holding is one of the leading private equity asset management companies in Germany, with assets under management of around EUR 2 billion. It focuses on direct investments and fund of funds investments. The company currently has stakes in more than 15 companies in Germany and other German-speaking countries.
