Stuttgart – CMS has advised the Wüst-Reichenbach family on the sale of a majority stake in Karl Reichenbach GmbH to private equity firm Lampe Privatinvest. In addition to Lampe Privatinvest, shares were also acquired by private investor Christoph Mosmann, who has relevant industry experience, and by the new CEO of Karl Reichenbach GmbH. The Wüst-Reichenbach family is withdrawing from management, but will remain engaged in the company via a minority shareholding.
A CMS team headed by M&A partner Dr Claus-Peter Fabian and Dr Andreas Lohbeck provided support for the process from the start and advised on all legal aspects. The transaction has allowed the Wüst-Reichenbach family to secure the company’s succession, consolidate the market position of Karl Reichenbach GmbH and open up new opportunities for the future development of the business.
Established in 1941, Karl Reichenbach GmbH manufactures rubber mouldings. It specialises in technical elastomer products such as silicone gaskets for gas burners, rubber pads for trailer couplings and lip seals, in particular for household appliances and automotive applications.
Lampe Privatinvest is a private equity firm financed by a selected group of entrepreneurial private investors. It forms part of the Bankhaus Lampe Group. The firm focuses on succession situations, growth projects and other shareholder changes. The private equity firm’s portfolio currently comprises five companies.
A team led by Dr Carsten Lehmann and Torsten Denker from IMAP M&A Consultants AG
acted as transaction advisors on behalf of the Wüst-Reichenbach family.
