Frankfurt/Main – Zeppelin Rental GmbH has acquired the companies in the Luther Group from the family owners. In addition to Luther HL GmbH & Co. KG and Meton GmbH, the Luther Group includes subsidiaries in the Czech Republic and Slovakia. The acquisition of all the shares in the Luther Group companies was structured as a share deal. The transaction is subject to various closing conditions. Details of the transaction were not disclosed.
A CMS team headed by lead partner Dr Hendrik Hirsch and counsel Christian Schubert advised Zeppelin Rental GmbH on all legal aspects of the acquisition. The CMS office in Bratislava was also involved in advising on Slovak law. The legal advice included due diligence, drafting and negotiation of the share purchase agreement, transaction management and notifying the competition authorities.
Zeppelin Rental GmbH, based in Garching near Munich, provides solutions for machine and equipment rental, temporary infrastructure and construction logistics. The company is part of the Zeppelin Group’s Rental unit. The strategic business unit generated sales of around EUR 473 million in 2018, with a workforce of more than 1,400 employees across four countries.
Luther HL GmbH & Co. KG is headquartered in Hoppstädten-Weiersbach in Rhineland-Palatinate. It operates in the fields of transportation technology and road safety. The portfolio includes the development and manufacture of the company’s own products as well as a rental service for mobile LED signs, traffic jam warning systems and construction information boards.
Potsdam-based Meton GmbH, which also has a branch in Hoppstädten-Weiersbach in Rhineland-Palatinate, is a provider of portable barriers and protection products for road and motorway safety.
