CMS advises shareholders in biotech company Labor Dr. Merk & Kollegen on sale to Boehringer Ingelheim

Stuttgart – Pharmaceutical group Boehringer Ingelheim has signed an agreement to acquire all the shares in Germany-based biotech company Labor Dr. Merk & Kollegen. Boehringer Ingelheim intends to use the acquisition to expand its R&D activities and its clinical production capacity for drugs used in innovative immuno-oncology therapies. Details of the transaction were not disclosed. The transaction is currently awaiting approval from the German competition authorities.

A CMS team headed by lead partner Dr Thomas Meyding advised the shareholders in Labor Dr. Merk & Kollegen on all legal aspects of the transaction. This included advising on structuring the transaction and the associated extensive contract negotiations.

Labor Dr. Merk & Kollegen, based in Ochsenhausen (Baden-Württemberg), is a family-owned business established in 1971. The company has 130 employees and is noted for its strong expertise in the process development, production and analytical characterisation of viral therapeutic agents. Labor Dr. Merk & Kollegen has been working closely with Boehringer Ingelheim on the development of virus-based therapies since 2015. Labor Dr. Merk & Kollegen and all its employees will be integrated into the Boehringer Ingelheim development organisation as a new unit, with work continuing at the Ochsenhausen location. Future expansion of the site is planned.
