CMS advises STEAG on acquisition of two waste incineration plants from Vattenfall

Düsseldorf – Essen-based energy producer STEAG has signed purchase agreements to acquire the shares in the Lauta thermal waste treatment plant in Saxony (74.9%) and Rüdersdorf industrial power plant in Brandenburg (100%) held by energy provider Vattenfall. STEAG GmbH already owns a 25.1% stake in the Lauta plant. The two plants have a total waste incineration capacity of 475,000 tonnes per year. Around 40 people are employed at the Rüdersdorf plant and 60 at Lauta. The parties agreed not to disclose details of the purchase price. The approval of the Vattenfall GmbH Board of Directors is required to complete the transaction and is expected in December. The German Federal Cartel Office has already approved the acquisition.

A team from CMS Germany headed by lead partner Dr Thomas Brunn advised on all legal aspects of the Transaction.

STEAG has been involved in energy generation for almost 80 years. The Group operates 10 power plants at 9 locations in Germany, as well as over 200 local power facilities for generating power from renewables and local generation facilities for industrial applications and heat supply. In 2015, STEAG had 5,920 employees and posted sales of around EUR 3.5 billion.
