CMS advises terranets bw on acquisition of Gas-Union Transport

Stuttgart – terranets bw GmbH has acquired regional gas transmission operator Gas-Union Transport GmbH. This move will allow terranets bw to expand its transmission network from southern Germany to Lower Saxony. The merger sees the company’s gas network increase by around 550 kilometres to a total length of some 2,700 kilometres. The merger of Gas-Union Transport into terranets bw will be completed before the end of the year. Details of the transaction were not disclosed.

A CMS team headed by lead partners Dr Christian Haellmigk and Dr Maximilian Grub together with lead principal counsel Dr Sabina Krispenz advised terranets bw on all legal aspects of the transaction.

Gas-Union Transport GmbH is a subsidiary of Gas-Union GmbH, whose sole shareholder has been VNG AG since the summer of 2020.

Stuttgart-based terranets bw GmbH is an independent transmission operator (ITO) for gas. The company operates the mainline transmission system and high-pressure gas facilities in Baden-Württemberg. According to information provided by the company, more than two thirds of all towns and municipalities in Baden-Württemberg and parts of Switzerland, Vorarlberg and the Principality of Liechtenstein are connected to the terranets bw transmission network.
