CMS advises Uniphar on its market entry in Germany by acquiring CoRRect Medical

Stuttgart - Uniphar Europe Limited, a subsidiary of publicly-listed Uniphar PLC, based in Dublin, has acquired CoRRect Medical GmbH, based in Oberhaching, Bavaria. For Uniphar, an international diversified healthcare service provider, this transaction is the first acquisition in Germany and, at the same time, marks its entry into the German market. The closing of the transaction took place on July 19th, 2021. Further details were not disclosed.

A CMS team headed by lead counsel Dr Andreas Lohbeck together with lead partner Dr Heiko Wiechers advised Uniphar on all legal aspects of the acquisition of CoRRect Medical GmbH. The advice covered the legal due diligence, the draft and negotiation of the purchase agreement including the tax clause and a new managing director employment contract for the managing director of CoRRect Medical GmbH. In addition, CMS supported on the signing and closing of the acquisition. The CMS team managed to complete the project, including the legal due diligence, within just three months.
