Frankfurt/Main – Frankfurt-based private equity firm VR Equitypartner and BIP Investment Partners S.A. of Luxembourg have sold their jointly-held portfolio company LEUNA-Tenside GmbH to US firm Vantage Specialty Chemicals Holding Inc. The two equity investors had acquired a majority stake in LEUNA-Tenside in 2015 as part of a succession arrangement. The parties agreed not to disclose the deal value. The transaction is currently awaiting approval from the merger control authorities.
A CMS team headed by lead partner Dr Jörg Lips advised VR Equitypartner and BIP Investment Partners S.A. on all legal aspects of the transaction, with CMS acting as lead transaction counsel. The CMS team also drew on its in-house Smart Operations unit during the wide-ranging transaction. This multi-location team of commercial lawyers uses proprietary legal tech tools to provide support for due diligence processes and similar auditing and valuation tasks.

Vantage Specialty Chemicals has its head office in Chicago/Illinois, US. According to its own information, it is a leading producer of naturally derived, specialty ingredients focused on personal care, food, consumer and industrial end markets.
