Stuttgart – Munich-based Aurelius Group has sold the healthcare activities of ITC firm brightONE (Eschborn) to T-Systems International GmbH. The business was sold as part of a share and asset deal. The transaction also involved the service and maintenance operations in India, in addition to the German and Dutch units. The sale is currently awaiting approval from the competition authorities.
A team from CMS Hasche Sigle led by Stuttgart-based partner Dr Maximilian Grub advised the inhouse team at Aurelius AG on the legal aspects of the transaction, with support from CMS Derks Star Busmann N.V. Providing cross-border advice under Indian and Dutch law while working to a very tight schedule was a particular challenge of the complicated carve-out.
The brightONE Group's healthcare business covers the development, sale and maintenance of hospital databases, in particular the iMedOne hospital information system. Aurelius AG acquired the entire brightONE Group with its 900 employees in four countries from Finnish IT service provider Tieto Oyi in the summer. A subsidiary of Deutsche Telekom AG, T-Systems International GmbH is acquiring the healthcare business as part of the ongoing expansion of its operations and aims to secure a strategic position in this growing market going forward.
