CMS Hasche Sigle advises AURELIUS on takeover of Blaupunkt business divisions from Robert Bosch

The Munich industrial holding AURELIUS has taken over the aftermarket and components business on the market under "Blaupunkt" from the car multi¬media division of Robert Bosch GmbH. The two companies signed the agreements on 18 December 2008. A team led by Dr Maximilian Grub and Dr Antje Becker, partners in CMS Hasche Sigle, advised Aurelius AG. Robert Bosch GmbH was advised by the lawyers in the Stuttgart firm of Gleiss Lutz and the investment bank UBS.
The aftermarket and components business will act in future as an independent company under the well-known traditional trademark Blaupunkt and will take up a position as a specialist in the car infotainment division. Blaupunkt's product range covers not only car radios and car HiFi components but also the most modern navigation systems (PND). In the 2008 financial year company turnover in this respect was 200 million euros. Blaupunkt will continue to run its works in Vila Real/Portugal, Beni Khalled/Tunisia and Penang/ Malaysia from its registered office in Hildesheim.

Details of the purchase price were not disclosed. The takeover of the Blaupunkt aftermarket and components business is still subject to clearance from the competition authorities. It is expected that the transaction will be concluded at the beginning of February 2009.
