CMS Hasche Sigle advises Deutsche Beteiligungs AG on acquisition of Stephan Machinery


Frankfurt/Main – Deutsche Beteiligungs AG (DBAG) and its DBAG Fund V have acquired Stephan Machinery GmbH, headquartered in Hameln, Germany, in a management buy-out. A corresponding agreement was signed with Italian company Corazza S.p.A., a subsidiary of listed IMA Industria Macchine Automatiche S.p.A. The purchase price of the debt-free engineering company is EUR 40 million. The sale, which is due to be completed in the next three months, still needs to be approved by the competition authorities. Stephan Machinery GmbH has subsidiaries in France, Poland, Russia, Singapore, the US, Belgium and the UK.

An international CMS Hasche Sigle team led by Dr Hendrik Hirsch advised DBAG on all legal aspects of the transaction.

DBAG is a listed company that has been operating for almost 50 years, making it Germany's oldest private equity firm. It focuses on market-leading SMEs in Germany and neighbouring European countries. DBAG currently manages almost EUR 1.3 billion. Established in 1953, Stephan Machinery GmbH manufactures industrial machines and plants for food production and packaging and operates its own development centre. Last year, 180 employees generated sales of EUR 42 million. In 1999, Stephan was acquired by Sympak Corazza Group of Italy, which was in turn taken over in 2011 by the IMA Group.
