CMS Hasche Sigle advises Holtzbrinck again on Club Deal

Georg von Holtzbrinck GmbH & Co. KG and Holtzbrinck Publishers Holdings Ltd. have finalised a club deal financing agreement of EUR 750m. The consortium, which consists of twelve banks, was led jointly by Commerzbank AG, Landesbank Baden-Württemberg and The Royal Bank of Scotland PLC. The publishing group was advised on this financing agreement by a team of lawyers from CMS Hasche Sigle led by Berlin partner Dr Jens Moraht.

Holtzbrinck now has a EUR 500m. revolving credit facility, a EUR 200m term facility and a EUR 50m. swingline option. The only security is a guarantee from Georg von Holtzbrinck GmbH & Co. KG. The Holtzbrinck group restructured a large part of its bilateral credit lines for the first time in May 2004 when it consolidated them in a EUR 850m consortium financing agreement. This financing model will be superseded after only just over one year by the new club deal owing to a further drop in the interest rate.
