CMS Hasche Sigle advises investors on acquisition of the Danish ferry company Scandlines

Deutsche Bahn and the Kingdom of Denmark today signed an agreement for the sale of all their shares in Scandlines AG to a consortium of investors comprising Deutsche Seereederei, Allianz Capital Partners and 3i.
Led by Jost Kienzle and Christian von Lenthe, a team from CMS Hasche Sigle advised Allianz Capital Partners and Deutsche Seereederei.
To date Deutsche Bahn and the Kingdom of Denmark each held 50 percent in the company. 3i and Allianz Capital have each acquired 40 percent. Deutsche Seereederei secured 20 percent. The volume of the transaction amounted to 1.5 billion euros. The supervisory board of Deutsche Bahn and the Danish parliamentary bodies still have to consent to the sale.

With 24 ships and approx. 2700 employees Scandlines serves twelve routes between Germany, Denmark, Sweden and the Baltics. In 2006 the shipping company transported about 20 million passengers, 4.2 million cars and one millions trucks. A surplus of 103 million euros was reported for 2006. Turnover amounted to 547 million euros.

Deutsche Seereederei group, domiciled in Rostock and employing more than 2200 employees, achieved a turnover of 258 million euros in 2006.

Allianz Capital Partners, a private equity company founded in 1998 by Allianz, has to date invested a total of about 2.7 billion euros in 20 companies.
