CMS Hasche Sigle advises public takeover in Hungary


Globus, the leading Hungarian producer of tinned foods and frozen products, will be taken over the French CECAB group. In France the CECAB group is one of the most important companies in the vegetable industry. Its acquisition of a majority holding in Globus, which is listed on the Budapest stock exchange, will take the form of a public takeover. One of Globus' current major shareholders is DEG Deutsche Investitions- und Entwicklungsgesellschaft mbH, whose headquarters are in Cologne. In the course of the public takeover it will divest some of its shares in Globus, but will retain a qualified minority holding.

CMS Hasche Sigle advised DEG in preparing the CECAB group's public takeover of Globus. Capital market legislation in Hungary is still in its infancy. Although it does provide for public takeovers this option has only been used in a small number of cases so far. The market position of Globus in Hungary makes this takeover one of the most important transactions of its type. There are plans to file for the delisting of Globus once the public takeover has been successfully completed.
