Frankfurt/Main – Syscore GmbH of Darmstadt, a company owned by the family office of Sylvia Ströher, has sold Berlin-based ECP Entwicklungsgesellschaft mbH to Abiomed Inc., which is headquartered in Danvers, Massachusetts.
A team from CMS Hasche Sigle led by lead partner Dr Joachim Dietrich advised Syscore on all legal aspects of the transaction.
As a project company, ECP was under the operational management and control of medical technology company Berlin Heart GmbH. CMS Hasche Sigle also advised when Berlin Heart was acquired by Syscore in 2006. ECP is developing a special foldable catheter pump for innovative treatment of patients with acute heart failure. The acquisition allows Abiomed to reinforce its position as one of the world’s leading providers of cardiac support systems for a wide range of cardiological conditions. In addition to ECP’s extensive patent portfolio, AIS GmbH Aachen Innovative Solutions was acquired at the same time, which has a number of licensing agreements in place with ECP.
