CMS Hasche Sigle advises the town of Darmstadt in the re-organisation of its municipal economy

The town of Darmstadt has concluded the restructuring of its municipal economy which was started three years ago with the merger of the two municipal utilities companies for power, gas and water and with the addition of a new strategic partner. The town of Darmstadt has integrated bauverein AG with HEAG AG which has resulted in the essential economic activities of the town being brought together under the umbrella of HEAG.

During this process the HEAG structures have been adjusted. The old seven divisions, energy, transport, telecommunications, waster management, plant construction, IT and real property have been restructured within HEAG and each one now forms an independent company: HEAG Südhessische Energie AG (energy), HEAG mobilo GmbH (local public transport), EAG Entsorgungs-AG (waste management), bauverein AG (real estate) and HEAG MediaNet GmbH (telecommunications). The real property subsidiary of HEAG, HEAG Wohnbau, is assigned to bauverein while the shares in Entega Service (IT) and Nohl Darmstadt (plant construction) are assumed by HEAG Südhessische Energie AG (HSE).

Under the leadership of partner Dr Jochen Lamb – as during the first step three years ago – a Stuttgart team from CMS Hasche Sigle advised the town of Darmstadt on the corporate and tax law structure of the transaction and on the execution of the restructuring.
