International Business Acquisitions

December 2014

4th edition of the WLG handbook "International Business Acquisitions", Michael Whalley, Ralf Kurney, published by Wolters Kluwer Law & Business, 2014, now available

Anyone working on cross-border business acquisitions knows how important it is to identify at an early stage the special legal aspects that need to be taken into account in the relevant jurisdictions. The completely updated and expanded 4th edition of the International Business Acquisitions handbook provides an overview of the legal framework for acquisitions in a total of 40 jurisdictions. There is one chapter per country, each divided into the same 33 sub-sections, making it quick and easy to compare the different countries. Due diligence is dealt with in a separate chapter, with information provided on each of the countries.

The 4th edition includes:

  • New articles from Chile, Costa Rica, Indonesia, Poland, Russia, Thailand and Turkiye
  • Details of the current impact of EU regulations and directives on corporate transactions and the growing relevance of bilateral agreements on trade and investment
  • New key areas for due diligence, i.e. compliance (anti-corruption, prevention of money laundering), data protection, presence on social media and other digital assets

The handbook is targeted at international investors and anyone involved in cross-border M&A in global companies. All the country-specific chapters have been written by experienced partners of member firms in the World Law Group, which are among the leading law firms in their respective region. CMS Hasche Sigle is the German founding member of the World Law Group.

The handbook is published by Wolters Kluwer Law & Business.

Please contact Mr Ralf Kurney, partner at CMS Hasche Sigle, author and editor of the handbook, if you would like further information.
