CMS Bureau Francis Lefebvre and Clifford Chance advise on Neopost S.A. notes issue

CMS Bureau Francis Lefebvre acted as legal advisor for Société Générale, the lead manager for the notes issue carried out by Neopost S.A. on 6 December 2012. The 3.50%, 7-year notes were issued in an aggregate nominal amount of €150,000,000.

Neopost S.A. was advised by Clifford Chance.

All of the notes were placed with qualified investors and are now trading on the NYSE Euronext Paris stock exchange. *The notes issue has enabled Neopost S.A., Europe’s leading and the world’s second largest provider of mail processing solutions, to continue its campaign to refinance its private placement with Crédit Agricole, which matured on 7 December 2012 (€133-million), and its multi-currency syndicated revolving line of credit, which expires in June 2013 (€675 million, of which €380 million had been drawn down as of 31 January 2012). It increases the total amount of financing raised since June 2012 to $270 million and €367 million.

The prospectus for the offering was granted visa no.12-588 by the Autorité des Marchés Financiers (AMF) on 4 December 2012 and is available on the regulator’s website (www.amf-france.org).

During the transaction, the CMS Bureau Francis Lefebvre team comprised Marc-Etienne Sébire, head of the Capital Markets group, plus associates Rosetta Ferrère and Yaël Fitoussi.

The Clifford Chance team comprised Cédric Burford, Partner, and associate Gemma Doyle.
