Neopost S.A. bond issue: CMS Bureau Francis Lefebvre advisor to the lead managers


CMS Bureau Francis Lefebvre is the legal advisor for BNP Paribas, HSBC and Société Générale Corporate and Investment Banking, acting as joint book-runners and BofA Merrill Lynch, Commerzbank, Crédit Agricole CIB and Natixis, acting as passive joint book-runners in relation to the bond loan issued by Neopost S.A. on June 23, 2014 for a total amount of €350,000,000 bearing interest at the rate of 2.50% p.a. with a 7 year maturity.

Neopost S.A. was advised by Clifford Chance.

Said bonds were fully subscribed for by qualified investors and are listed on the regulated NYSE Euronext market in Paris.

Said bond issue must allow Neopost S.A., the first European and the second world provider of mail Solutions and an increasingly important player in the area of Communication & Shipping Solutions, to extend the maturity of its debt while diversifying its financing sources. The transaction must, in particular, contribute to the redemption of its Océanes issue of €300 million which matures on 1 February 2015.

The French Financial Markets Authority approved the issue prospectus on June 19, 2014 under No. 14-310 and it may be consulted on the website of the Financial Markets Authority (www.amf-france.org).
