Commercial Contracts Seminar Contractual liability: beyond the four walls of the contract

While the starting point for any contractual liability question will be reviewing what the contract says, this does not always provide the complete answer. In this session, our speakers will focus on issues that may be relevant when advising on liability but that arise outside the four walls of the contract, whether in legislation, the common law, or other documentation.

  • Will Anderson, Disputes Partner, will consider some of the external factors that may affect the enforceability of clauses that seek to limit or exclude liability;
  • Duncan Turner, a Partner in our Commercial team, will consider liability that cannot be excluded or limited under contracts;
  • Robbie Somerville, Senior Associate, Corporate will review the circumstances in which the courts may imply a duty of good faith into a contract against the backdrop of recent case law.
