20 November 2020

International law firm CMS has advised Civitas Investment Management Limited (CIM), a leading impact investor specialising in government-backed community real estate assets, on its acquisition of Heathcotes, one of the UK’s largest care providers with approximately 72 healthcare facilities.

The acquisition was undertaken in partnership with Envivo Group (Envivo), a leading care provider delivering quality services within both residential care and supported living sectors in the UK. CMS also provided legal advice to Envivo on certain aspects of the transaction.

CIM has acquired Heathcotes’ healthcare real estate assets on behalf of underlying investment clients, and Envivo has acquired Heathcotes’ operational care business.

Gareth Saynor, CMS Corporate partner, comments: “It has been a great pleasure to advise our long-standing client CIM on this significant acquisition, one of the largest we have seen in UK healthcare this year.”

Rebecca Kitchingham, CMS Real Estate partner, led on the real estate aspects of the transaction. She added: “The healthcare sector continues to demonstrate its resilience and as a full-service law firm, with internationally renowned Corporate, Real Estate and Healthcare teams, CMS is well-placed to advise its clients on transactions of this nature.”

The CMS team also included Carmen Cussons and Rashmi Varkey (Corporate); Richard Rounding (Real Estate); and Becky Mayhew (Legal Services).
