Amy Cheung is a Senior Associate in our Corporate practice and has been practicing litigation, insolvency and restructuring for over twenty years with major international law firms. Amy regularly advises local and international clients on all aspects of dispute resolution including banking disputes and securities enforcement, commercial disputes, probate and property claims and disputes amongst shareholders. She also has extensive experience providing local and cross border insolvency advice and help to creditors, private and listed companies, lenders and bondholders involving bankruptcy, liquidations and schemes of arrangements.  She is able to independently and effectively handle all aspects of litigation in the High Court and District Court for plaintiffs and defendants and bringing and defending appeals to the Court of Appeal and Court of Final Appeal including handling urgent applications seeking injunctions and other reliefs.

Relevant experience

  • A financial services provider on the feasibility, risks and impact of enforcement of its security documentation in respect of its loan to a listed company and its subsidiaries including the regulatory issues arising therefrom, including the options of appointing a provisional liquidator over the listed company, convening a shareholders’ requisition and a scheme of arrangement.
  • A Hong Kong listed company in an intense shareholders’ dispute involving a heavily litigated shareholders’ requisition to convene an Extraordinary General Meeting (“EGM”) to remove certain board members; handling enquiries from the Securities and Futures Commission; handling six related sets of proceedings in the High Court involving applying for and the discharge of urgent injunction applications with regard to the date of the EGM and validity of the requisition and interlocutory discovery orders.
  • Another listed company in another intense shareholders’ dispute involving a shareholders’ requisition to convene an EGM to remove certain board members involving claims of breaches of fiduciary duties and breaches of duty of confidentiality by certain existing board members and defending the originating summons commenced by the requisitionist and advising on the regulatory issues arising therefrom.
  • Liquidators to investigate and commence proceedings on behalf of the company (in liquidation) to pursue claim based on wrongful payout of interim dividend to avoid payment to the company’s creditors including claims for misfeasance by former directors and independently handling the investigation and analysis of the issues and the subsequent settlement negotiations.
  • Several listed companies to apply for sanction of schemes of arrangement under Section 670 of the Companies Ordinance Cap 622 and related insolvency issues arising therefrom.
  • A major Asia-based private equity firm in relation to the enforcement of its rights against the founder of a Chinese entity under a share charge and an exit agreement of shares to recover a sum in excess of RMB350 million involving simultaneous complex litigation and arbitration in Hong Kong and litigation in the PRC.
  • Directors of a listed company to discharge an ex parte injunction refraining the directors from convening the Annual General Meeting and approving the annual accounts and advising on the regulatory issues arising therefrom.
  • Defending claim for delivery up of listed company shares against client allegedly held by client on a Quistclose Trust basis involving successfully discharging a Mareva Injunction and ancillary disclosure order and dealing with appeal to Court of Appeal and Court of Final Appeal.
  • Clients in the enforcement of judgments including the options of bankruptcy, winding-up and other means of enforcements and asset-tracing.
