CMS has advised Albron and its shareholder, Albron Foundation, on the partnership between Albron and Facilicom. As part of this partnership, Facilicom has transferred its subsidiary Prorest Catering to Albron. Together with Prorest Catering, Albron will operate as an independent foodservice company.
The transaction will be effectuated in several tranches. Parties envisage that Facilicom Services Group will finally hold 51% of the shares in Albron and the Albron foundation 49%. Following the approval of the Netherlands Authority for Consumers and Markets (ACM) to the transfer of Prorest Catering to Albron, the closing has occurred last week.
Albron, one of the largest food service companies in the Netherlands, has an annual revenue of € 244 million and about 4,000 employees working at nearly 800 locations in the Netherlands.
Facilicom Services Group is a large, Dutch facility services provider and a leader in cleaning and security services. The company has offices in the Netherlands, Belgium, England and France. Facilicom employs more than 28,000 people with a revenue of approximately € 1.2 billion. Prorest Catering has a revenue of circa € 40 million and approximately 650 employees working at approximately 200 locations.
