CMS advises Holcim and Basalt on international joint venture

CMS has advised Holcim Grondstoffen B.V. and Basalt Union GmbH on their entry into an international joint venture.

Holcim Grondstoffen B.V. and Basalt Union GmbH have decided to combine their sales and trading activities in raw materials in the Netherlands by establishing the limited partnership H&B Grondstoffen C.V., with its head office in Capelle aan den IJssel.

Through the establishment of this international joint venture, Holcim Grondstoffen B.V. and Basalt Union GmbH intend to achieve synergy benefits on the Dutch market. The international joint venture started as of 1 July 2011.

Holcim Ltd is a leading company in the cement industry. The group has a presence in more than 70 countries and provides employment for 85,000 people. Their core business consists in the production and distribution of cement and granulates, concrete mortar and asphalt. In addition, Holcim Ltd also provides other, related services.

With more than 150 holdings, Basalt is one of Germany’s leading producers of building materials.

Corporate partner Cees de Tombe was responsible for supervising the whole process. Erik Vorst, Bob van Zijl, Herman van Aerts, Casper Doorten (Corporate), Isabelle Balvert (Real Estate), Jan van Vulpen (Environmental law) and Arnout Scholten (Landlord and tenant law) also worked on the deal.
