José Antonio specializes in mergers and acquisitions (M&A), banking and finance, project finance, capital markets, corporate reorganizations, corporate law and cross-border transactions. He has significant experience in the banking, energetic, retail and hospitality & casino sectors. With respect to his transactional experience, José Antonio has advised local and international banks on banking law and financial services, as well as local and international companies in M&A transactions.

Among the most important companies José Antonio has counseled are Grupo Repsol YPF, Abengoa, Citibank, BBVA, Banco de Crédito del Perú, Torres Unidas, Iron Mountain, Sun Dreams, and Grupo Generación Andina.

José Antonio joined CMS Grau in 2017. Previously, he was an associate of the financial and corporate/M&A practice areas at Rubio Leguía Normand, and legal advisor of Grupo Repsol YPF. In addition, José Antonio has been legal advisor in infrastructure matters for local governments.

  • CASINOS ACQUISITION. Counsel to Sun Dreams in the acquisition of the casino operations of Thunderbird in Peru for US$ 26 million.
  • GRUPO EL COMERCIO. Counsel to Grupo El Comercio in the acquisition of shares from a local education institution.
  • CORPORATE BONDS. Counsel to BBVA in the structuring and issuance of San Fernando S.A.’s bond program for up to PEN S/ 200 million.
  • PURCHASE AND SALE OF ASSETS Counsel to Torres Unidas on the purchase of assets for up to US$ 40 million.
  • BUILD TO SUIT – BTS. Counsel to Torres Unidas in the negotiation of a build-to-suit agreement, which includes provisions for building telecom structures for an approximate value of US$ 40 million.
  • ELECTRIC COMPANY SALE. Counsel to Grupo Generación Andina on the sale of a power generation project for US$ 2.7 million.
  • MINING FINANCING. Counsel to Bank of Canada on the refinancing of a loan granted to a local mining company for up to US$ 40 million.
  • TRANSMISSION LINES FINANCING. Counsel to Corporación Andina de Fomento (CAF) on two bridge financings granted to Abengoa for US$ 43 million and US$ 30 million.
