CMS Poland announces key promotions bolstering its Corporate, Tax and Litigation Teams

CMS Poland is pleased to announce that the firm has made four key promotions over the course of July. Olga Czyżycka (Corporate M&A), Małgorzata Brauckmann-Sajkiewicz (Tax), Piotr Nowicki (Tax) and Marcin Zbytniewski (Dispute Resolution) have all been promoted to Counsel. 

Commenting on the recent appointments, Andrzej Pośniak, CMS Managing Partner, says: “Each of our newly appointed Counsel lawyers are experienced attorneys in their respective fields and have shown an excellent understanding of both the market and our clients’ needs. The firm’s new appointments include:

Olga Czyżycka, an advocate with over 9 years of experience, advises private equity funds and sector investors on M&A transactions, joint-venture projects, equity financing and other corporate issues. Last year, Olga’s work included advising on the largest chemical investment in Poland and CEE – the Polimery Police project – with an estimated budget of USD 1.8 billion. Over the last few years, Olga’s experience has also included advising Advent International on the acquisition of Zentiva’s Polish assets portfolio, and CEE Equity Partners in relation to an investment in EuroWagon sp. z o.o., the largest independent company leasing railway rolling stock in Poland. Olga specialises in handling transactions in the renewable energy sector and has advised on two sales of a portfolio of photovoltaic farms by Green Gennius, a Modus Group company (41 projects of a total capacity of 40.4 MV and 49 projects of a total capacity of 45.4 MW, respectively), as well as on the acquisition of the Zajączkowo wind power farm by GIG, a Macquarie Group company.

In the last edition of the international ranking of law firms, The Legal 500, Olga was singled out twice as a “Rising Star” in the Corporate/M&A and Private Equity categories. She has been with CMS since 2017, and has previous experience working in international law firms. 

Małgorzata Brauckmann-Sajkiewicz, an advocate with over 11 years of experience, specialises in legal and tax assistance in M&A transactions, corporate restructurings, foreign investments, as well as tax planning and optimisation at both the Polish and international level. She also represents clients in tax cases before tax authorities and administrative courts. Małgorzata advises a large group of clients from the following sectors: IT, e-commerce, manufacturing, renewable energy, FMCG, real estate and finance, as well as private equity funds. She devotes part of her time to clients from German-speaking countries at the CMS German Desk.

Recently, Małgorzata has advised on the tax aspects of the Polimery Police project, with an estimated value of USD 1.8 billion, on the sale of a 45.4 MW photovoltaic park by the Modus Group (the largest transaction of this type in CEE). She has also advised the Hunter Douglas group, including on the acquisition of a new business in Poland and advised companies from the automotive sector in the creation of a joint venture with a bank, offering financial products and services to buyers of vehicles produced by the group. Her other experience includes advising the private equity fund - V4C – on the tax aspects of the acquisition of shares in Kom-Eko S.A., a company dealing in the removal of municipal waste, as well as in connection with the creation of the first Internet store in Europe by Pierre Fabre, a leading producer of dermocosmetics. 

Małgorzata has been with CMS since 2018, and has previous experience working in international law firms in Warsaw, Munich and Berlin.

Piotr Nowicki is an advocate with over 10 years of experience specialising in M&A transactions, tax advice in the real estate sector and new technologies. He also represents clients in tax audits and tax litigation. Recently Piotr has advised on the tax aspects of such transactions as the acquisition of a wind form located in Żary by MEAG Munich ERGO Asset Management, one of the largest German investors in the renewable energy sector, and acquisition of the company Archidoc S.A. by a Montagu Private Equity fund portfolio company. He also has extensive experience in handling greenfield projects and has experience advising across the IT and e-commerce sectors. Amongst others, Piotr has advised on Egger Group’s first investment in Poland, with an estimated value of approximately PLN 1 billion. Piotr’s expertise also includes dealing with warranty and indemnity insurance. 
 
Piotr has been with CMS since 2011 and is a recommended adviser for tax in the international legal directory, The Legal 500. 

Marcin Zbytniewski is an advocate with over 10 years of experience representing clients in business litigation, including at the trial and pre-stage. In the main part, he specialises in construction disputes regarding complex infrastructural projects (roads and railways), as well as investments in the energy sector. He has experience in proceedings before state courts and arbitration tribunals. He is currently representing a leading construction work contractor in two court disputes with the employer concerning investments in the energy sector, including the construction of a bio-mass energy plant. He is also the contractor’s attorney in a dispute concerning the construction of a waste incineration plant, where the value of the dispute exceeds PLN 300 million. He also represents the bankruptcy receiver of the contractor of a section of the A1 motorway in a dispute with the investor, in which the value of the claims significantly exceeds PLN 1 billion. He successfully advises clients in negotiations, both at the pre-trial and trial stage. He has succeeded in bringing about a range of settlements in railway disputes, as well as a settlement ending a litigation in which he represented the designer of a section of the A4 motorway. Apart from construction disputes (which are his passion!), he represents employers in proceedings against former employees. In his professional career he has also represented clients from the energy, pharmaceutical, airline and insurance sectors. He has also advised clients in tender proceedings, as well as in criminal proceedings. 

Marcin has been with the CMS Dispute Resolution team since 2008 and is listed as a recommended litigation lawyer in the international legal directory, The Legal 500.
