Andrzej Zając is an Advocate and Counsel in the Real Estate and Construction Department at CMS. His focus is on real estate, real estate finance, mergers and acquisitions, corporate and civil law matters.

Andrzej’s experience includes providing comprehensive advice on a variety of real estate legal and financing matters. He has advised a number of clients from the real estate, banking and finance, production, FMCG, energy and mining sectors. He has particular experience in the acquisition and sale of real estate (undeveloped properties, shopping malls, warehouses, residential developments) both as asset and share deals and as joint-venture investments, (ii) investments processes (development of logistics assets, shopping centres and residential), (iii) acquisition and development financing and (iv) day-to-day services. He provides comprehensive legal services to clients, including structuring transactions, due diligence, and drafting and negotiating transaction documents.

Relevant experience

  • Skanska group – on the acquisition of one of the biggest office investments in the centre of Warsaw, together with the acquisition of the rights to the project (asset and share deal) from Boryszew group;
  • A joint venture of global and domestic investors – on the acquisition of one of the biggest investment areas in the centre of one of the largest cities in Poland;
  • On the acquisition of a very high value investment portfolio of office buildings on the Polish real estate market;
  • On the acquisition of a shopping centre under development by a joint venture of global and domestic investors;
  • One of the largest US hedge funds – on the creation of a portfolio of logistics centres in Poland. The transaction involved the acquisition of land in various locations, the execution of development contracts, commercialisation of facilities and comprehensive bank financing;
  • One of the largest developers in Poland – in relation to negotiations regarding a real estate purchase agreement and an agreement concerning neighbourly relations conditioning the implementation of a residential investment;
  • A private equity fund – on a transaction involving the acquisition, erection and sale of a luxury apartment complex in Warsaw – one of the largest residential projects in Europe;
  • Representing developers in transactions involving the acquisition of undeveloped real estate from various entities for commercial projects, including those located in historical urban areas;
  • Private equity funds and industry investors –on transactions which involved the acquisition of commercialised shopping centres and office buildings of different sizes and in different locations;
  • A private equity fund – on a transaction involving the acquisition of a portfolio of logistics centres and raising bank financing.
