Monika Szczotkowska is an attorney-at-law and an associate in the Corporate / M&A Department at CMS.  

She has been advising clients from various sectors since 2012 focusing on M&A, private equity and capital markets. Monika specialises in transaction advisory for public companies, private equity and venture capital funds, as well as entities in their early stage of development (start-ups).

She prepares transaction documents, in particular investment agreements (including joint ventures), shareholders' agreements, and share deal and asset deal agreements. She participates in negotiations, supervise transaction activities in the interim period, and advise on post-closing and integration aspects.

Monika has extensive experience in advising on public transactions, in particular initial public offerings and tender offers. She also supports clients with ongoing corporate matters for regulated and public companies, especially in the scope of inside information management. 

Prior to joining CMS in January 2020, Monika cooperated with Weil, Gotshal & Manges and with Bird&Bird.

Relevant experience

  • Grupa Azoty Polyolefins S.A. on the Polimery Police investment project (development of a complete new petrochemical complex in Police, Poland) – the largest chemical investment in Poland and CEE with an estimated budget of USD 1.8 bn. The project comprised acquiring financing for this investment and complex advice on the whole investment process, including its implementation. The CMS transactions team supported the Client on negotiations and conclusion of transaction documentations with Grupa Lotos S.A. and with two Korean investors: Hyundai Engineering and Korean Overseas Infrastructure & Urban Development Corporation (KIND).
  • MZN Property S.A. (Morizon) - one of the biggest Polish deliverers of the online property services for individual and institutional clients and owner of the online services Morizon.pl and Lendi.pl - MZN Property S.A. on the investment agreement between MZN Property S.A. and Ringier Axel Springer Media AG for the purposes of sale of 100% of the MZN Property S.A.'s shares to Ringier Axel Springer Media AG through the tender offer. 
  • Dino Polska S.A. on the Initial Public Offer of the company’s shares and Enterprise Investors on the exit from Dino Polska S.A. and sale of 49% stake through the Initial Public Offer of the shares for over PLN 1.65 bn.
  • Unicredit S.p.A. on the sale of the strategic 32,8% stake in Bank Pekao S.A. to PZU S.A. and Polish Development Fund in block transactions with value of PLN 10.6 bn. The project comprises of a several transactions resulting in UniCredit’s exit from Pekao Group, including sale of shares in Dom Inwestycyjny Xelion sp. z o.o.to Bank Pekao S.A.
  • Pioneer Global Asset Management S.p.A. on the sale of majority stakes in Pioneer Pekao Investment Management S.A. and Pekao Pioneer Powszechne Towarzystwo Emerytalne S.A. to Bank Pekao S.A.
  • Construcciones y Auxiliar de Ferrocarriles S.A. (CAF) the Spanish biggest manufacturer of railway vehicles, equipment and buses on acquisition of 100% of shares in Solaris Bus & Coach S.A.
  • Sanofi-Aventis on the spin-off and sale of Zentiva brand.
  • Shareholders of J.S. Hamilton Poland S.A. on the sale of controlling stake in the company to Mid Europa Partners and on the founder’s reinvestment.
  • Pan-European private equity fund on the investments in an innovative Polish company from the telecommunications industry.
  • Private equity fund on the investment in a company from media and entertainment industry.
  • A company listed on the New York Stock Exchange on the acquisition of an innovative Polish company from media and digital marketing industry.
