Sylwia Raszplewicz is an advocate and an Associate in the CMS Financial Institutions and Services Group. 

Sylwia specialises in advising financial institutions and has particular expertise in the insurance sector. She advises in a wide range of regulatory matters, as well as consumer protection issues. Her expertise includes the creation and launch of new products and distribution models, audits of product documentation, regulatory proceedings, including a proceeding to set up an insurance company and obtain a permit from the Polish Financial Institution Authority. Sylwia also has experience in advising investment and chemical companies in relation to insurance requirements in investment agreements. She has also been involved in corporate transactions on the financial market – acquisition, mergers and reorganisations, including pioneering a project of transformation of a mutual insurance company into joint-stock company. 

Sylwia also has a strong business background as she worked as an in-house lawyer for 3 years in an insurance company from an international capital group. Sylwia is also the author of numerous publications in the field of insurance. 

Sylwia also engages in pro bono educational activities aimed at popularising constitutional values among children and young people of school age.

Relevant experience

  • Generali group on the process of acquiring majority stakes of shares in two Concordia insurance undertakings (life and non-life), 
  • Generali group on the first successful  (on the Polish market)  transformation of a mutual insurance company, Concordia Non-Life, into a joint-stock company (so-called demutualisation),
  • Generali group on the merger of Generali Polish life company with Concordia life company. The assistance covered a wide range of insurance and corporate issues, including obtaining relevant clearances from the Polish Financial Supervision Authority.
  • Unum Group on the acquisition of Pramerica insurance company from Prudential Financial, Inc. The advice included both corporate and regulatory assistance (including communicating with and preparing a change of control application to the Polish Financial Supervision Authority). The advice also included other change-of-control aspects of the transactions (rebranding, IP, transitional services, etc.)
  • PKO BP (the biggest retail bank in Poland) on setting up a non-life insurance company within the bank group, including representation of the bank in proceedings before the Polish Financial Supervision Authority (the insurance company was set up in a record time of 6 months).
  • Chubb - providing a wide spectrum of day-to-day legal support in relation to Chubb’s insurance products and its operations in Poland, including corporate and regulatory issues. 
  • Grupa Azoty Polyolefins on the insurance contracts securing the one of the biggest chemical investments in Poland (the construction of the chemical plant, including systems for producing propylene and polypropylene). 
  • A global insurer on extended warranties insurance products for vehicles of a world class manufacturer. The advice included adapting the insurance products to Polish law requirements and market practice, as well as assistance in setting up a distribution model with car dealers and an on-line distribution model.
  • WAGAS (Lloyd’s coverholder) - providing a wide spectrum of day-to-day regulatory, corporate and distribution legal support in relation to operations in Poland, as well as cross - border operations in other EU countries.
  • AIG Europe on regulatory Polish issues associated with the internal reorganisation of AIG’s European business due to Brexit planning. Assistance also included comprehensive day-to-day legal support related to the reorganisation going forward.
  • A global construction company - advising on the scope of Directors & Officers insurance. Assistance included a detailed and complex analysis of all potential aspects of directors’ liability under Polish law and assessment of coverage under the current client's policy. Since the policy was governed by English law, the analysis covered Polish and English law aspects.
