Artashes Oganov is a Corporate / M&A partner in the Moscow office of CMS and Head of the Russian Real Estate practice.

Artashes has significant experience in advising Russian and international clients on M&A transactions, private equity investments, joint ventures, and other corporate matters. His sector experience covers manufacturing, energy, infrastructure, retail, transport, and agriculture. 

As Head of CMS Russia’s Real estate practice Artashes has extensive experience of working on a broad spectrum of real estate and construction matters. He has advised clients on both domestic and cross-border M&A transactions involving commercial and residential property, joint ventures in the real estate sector, secured financing for construction and acquisition of properties, commercial and industrial construction projects. 

Artashes also represents landlords and tenants on all matters related to the preparation and negotiation of lease agreements for offices, retail and warehouse premises, hotel buildings. His expertise covers complex lease matters, including the lease of “future” real estate, “build-to-suit” lease arrangements and sale-leaseback deals.

Prior to joining CMS, Artashes had been with two other international law firms in Moscow for over 12 years.

  • RDIF – on the acquisition by RDIF and co-investors (Mubadala, Bahrain Mumtalakat and others) of shares in the Russian agricultural business of TH Group (Vietnam).
  • RDIF – on the acquisition by RDIF and its co-investors of shares in the Russian primary beef production and farming business of Inalca S.p.A., an Italy-based major European player in the meat industry.
  • VTB Group – on its acquisition of a 25.1% stake in the construction project of Russia's first digital skyscraper iCITY.
  • VTB Group – on the acquisition of 90% stake in three business-class residential development projects in Moscow – Tsarskaya Ploshchad, Presnya City, and Basmanny 5 – from a leading Russian developer Coalco.
  • ORPEA – on a joint venture for the operation of care homes in Russia with RDIF and BPI France.
  • Large Russian investment group - on the sale of a construction project in Moscow to RG-Development for developing a business-class residential complex.
  • Large Russian investment group – on the sale of the MainStreet residential complex construction project to Osnova Group.
  • Coalco Group – on the sale of a 6.6 ha residential development site in the Moscow downtown to PIK Group. 
  • Private investor – acquisition from Rostekh (a Russian state enterprise managing state-owned industrial assets) of a brownfield industrial site in the Moscow city centre for developing a premium class residential property.
  • Major international real estate investment and development company – advice on its potential acquisition and subsequent reconstruction of an iconic sanatorium by the Black Sea.
  • Vestas – advising on all aspects of a EUR 220m investment project for setting up the manufacturing of wind turbine components in Russia, as part of an integrated supply of wind power installations to the Russian Federation, including filing an application to conclude a Special Investment Contract with the Russian Government and a Regional Government; negotiating and drafting the Special Investment Contract; setting-up a project company and negotiating and drafting a JV agreement with Rusnano; negotiating and drafting land lease agreement and lease of industrial premises;  negotiating and drafting EPC contacts for the design and construction of manufacturing facilities.
  • Honeywell – on all matters related to the acquisition of a land plot located in the Lipetsk Region Special Economic Zone and subsequent construction of the company’s first plant in Russia.
  • PPG Industries – advising a global supplier of paints, coatings and special materials on the construction of a paints and varnishes plant in the Lipetsk SEZ.
  • Auchan – advising on the acquisition of a 45-ha land plot in Moscow Region to construct a national distribution center with a total area of approx. 130,000 sq.m.; advising on various issues related to the construction of the distribution center, including the structuring of the relationships with the developer.
  • European retail chains – advising German, Austrian and French retail chains on the lease of retail and warehousing premises in Moscow and other Russian regions.
  • Gilead Sciences – advising a major US biopharmaceutical company on the lease of premises in the prime Class A+ business centre White Gardens (Moscow) to house its CIS office.
  • PayPal – advising PayPal in connection with the office lease in the A + class business centre White Square for the company’s Russian headquarters.
