Martin is an associate in the Corporate and M&A team at CMS Slovakia. His practice focuses on transactions, corporate restructurings, incorporations, refinancing, PPPs, and providing general corporate and regulatory advice. This includes drafting and reviewing contracts and documents, due diligence and compliance reports, as well as guiding clients through investigations.

He has significant experience in acting for international investors on acquisitions, particularly in the real estate, construction and projects, life sciences and healthcare, automotive and manufacturing, and retail and consumer sectors. He also acts for well-known names in these sectors, advising them on restructurings, refinancing, and providing advice on day-to-day issues that arise during their business operations.

Before joining CMS, Martin was an associate at two prominent regional firms.

Relevant experience

  • Gramercy Europe, through its fund Gramercy Property Europe III, on the successful acquisition of the KiK Logistics Centre from Go Asset and ECE European City Estates;
  • Wood & Co, a leading investment bank in Europe, on the acquisition of the Aupark Office Tower from Heitman. This was one the largest office transactions in Slovakia in recent years;
  • The Government of Slovakia on preparing a tender for the planning, construction, operation and facility management aspects of a prison in Rimavská Sobota. This is expected to cost approximately EUR 100m;
  • A multinational logistics real estate investment company on the incorporation of two new Slovak limited liability companies and the transfer of a piece of development land to each of the new entities through a sale and purchase agreement;
  • A leading German health care provider and a major Czech investment fund on the acquisitions of hospitals and health care providers in Slovakia;
  • A German luxury car manufacturer on its potential greenfield investment in Slovakia, supporting the client on regulatory and state aid matters;
  • A global online retailer on its intragroup restructuring in Slovakia, which involved the transfer of the business. We also advise the client on a broad range of corporate issues on an ongoing basis; 
  • Liberty Global on the sale of its direct-to-home (DTH) satellite TV operations in Slovakia, the Czech Republic, Hungary, Romania and to the M7 Group for an approximate total enterprise value of EUR 180m;
  • A large commercial bank on a very significant loan to one of the most successful private healthcare providers in Central Europe. The refinancing replaced existing euro and Czech crown facilities, including acquisition financings, and corporate and capex loans;
  • A leading consumer products company during dawn-raid inspections and investigations of distribution agreements and vertical agreements including price fixing.
