CMS advises Cinven & Partner in Pet Food on its latest acquisition in Poland

International law firm CMS has advised Partner in Pet Food (PPF), a company controlled by Cinven, on the acquisition of Grzegorz Werbliński’s pet food business in Poland. The acquisition of G-Mart and Zakład Przetwórstwa Rolniczego from Mr. Grzegorz Werbliński, the successful Polish entrepreneur, is expected to be completed in the coming months, subject to customary regulatory approvals and contractual closing conditions.

The Werbliński pet food business, established in 2004 in Kalisz (Poland), has a long history of producing high quality dog and cat food for Polish and international customers, including supermarkets and specialty pet food retailers. 

PPF, which has been a portfolio company of the Sixth Cinven Fund since 2018, is a leading producer of pet food in Europe. PPF’s products are available both under proprietary brands and private labels. 

The CMS lawyers working on the transaction were coordinated by Warsaw-based partner, Graham Conlon, Head of Private Equity in CEE/CIS, supported by Antoni Wandzilak (senior associate) and Jakub Rykowski (lawyer) from the M&A/Corporate team, and Jagoda Guzik (senior associate) and Mateusz Rojek (associate) who advised on real estate matters.
