CMS advises Halder on the acquisition of Sirag, Univer and Uniprod
Frankfurt-based financial investor Halder acquires a majority stake in Swiss-based Sirag AG, Univer AG and Uniprod AG through its Valeta (Specken Drumag) portfolio companies Drumag Fluidtechnik GmbH and EPH Elektronik GmbH. The parties agreed not to disclose financial details of the transaction.
Halder has been active as a private equity firm in the German-speaking region since 1991 and has provided 42 medium-sized companies with equity capital for succession and growth in this period. Halder supports its portfolio companies in their international expansion and helps them to develop their strategy and business model. It also provides funding for expanding capacity and financing acquisitions. Halder is currently investing its sixth fund and managing a portfolio of six participations.
Sirag, Univer and Uniprod, headquartered in Steinhausen (Switzerland), are specialized in high-quality solutions in pneumatics and process technology for over 30 years. They design and manufacture as a leading pneumatics group in Switzerland, inter alia, customized system solutions, special valves and control blocks. As a result of the acquisition, employees, customers and suppliers benefit from a larger, broader business and from the mutual transfer of know-how. The Valeta Group, extended by Sirag, Univer and Uniprod, combines expertise in pneumatics, hydraulics, hydropneumatics, electromechanics as well as electronics and supplies more than 2,500 customers from various customer industries such as mechanical and plant engineering, aviation, automation, or medical technology.
A team from CMS Switzerland, led by partner Stephan Werlen, advised Halder on all legal matters of the transaction. The Zurich and Frankfurt private equity and M&A teams with the partners Stephan Werlen and Oliver Wolfgramm advise Halder on a regular basis, in particular also together on the acquisition of the Valeta Group (Drumag Fluidtechnik and EPH Elektronik) in last September.
