Mircea Moraru is a senior counsel in the CMS Corporate team in Romania. Mircea has a broad transactional and advisory background working with large multinationals on a variety of corporate and regulatory work, including acquisitions, joint-ventures and other corporate and commercial transactions. His practice includes mergers & acquisitions, competition law, regulatory, real estate, tax matters and commercial issues. Mircea advises clients across a wide range of industry sectors, with a particular focus on the technology and energy sector. 

Mircea has experience working on multi-jurisdictional M&A transactions throughout Eastern Europe and beyond, regularly working with colleagues throughout CMS and elsewhere. 

Relevant experience

  • L&C Properties, part of M Core on its entry into the Romanian market with its largest deal to date: the acquisition of 25 retail parks from Mitiska REIM, an investment worth EUR 219m. 
    This deal was named “Investment Deal of the Year” award at the Property Forum Awards Gala 2024.
  • L&C Properties, part of M Core on the acquisition of seven strip malls in Romania from South African property developer MAS RE, for a consideration of EUR 49m.
  • PPC Group on a landmark cooperation agreement with Metlen (formerly known as MYTILINEOS) for the development of a solar portfolio of up to 2GW in Romania, Bulgaria, Croatia and Italy, which PPC will acquire on completion of their connection to the electricity grid. The value of the deal is estimated at up to EUR 2bn.
  • PPC Renewables, the Romanian subsidiary of PPC Group, on the successful completion of its acquisition in Romania of an 84 MW operational wind farm from Lukoil Group.
  • L&C Properties, part of M Core, on its entry into the Romanian market with its largest deal to date: the acquisition of 25 retail parks, an investment worth EUR 219m. This transaction positions M Core as one of the largest property owners in the Romanian retail market, covering a retail portfolio located across 24 cities. Mircea coordinated the due diligence process and subsequent contractual negotiations. He managed a team covering the several transactional workstreams and maintained a complicated balance between the various stakeholders involved in the process.
  • Iberdrola’s exit from the Romanian market after 17 years through the EUR 88m sale of its wind power assets to Premier Energy Group.
  • Alcedo, a subsidiary of the Japanese conglomerate Sumitomo Group, on the acquisition of Naturevo, a Romanian distributor of agricultural materials.
