CMS Wistrand advised Auctus and Builtech in the acquisition of Brion Group
CMS Wistrand has advised Auctus Capital Partners AG and its portfolio company Builtech Group, an integrated 360° provider in the field of Technical Building Equipment solutions across the German-speaking region, in the acquisition of Brion Group AB. Brion Group is a leading provider of technical services and installation solutions in Sweden with a wide range of services in the areas of heating & sanitation, ventilation and electrical (including traffic solutions). As part of the acquisition, the companies Brion Invest AB, Nytorp Energy Group AB, UTK Activ El AB and Trafiksystem Väst AB were brought together under the Brion Group umbrella. Through the acquisition, Builtech enters the Nordic market and becomes one of Europe’s leading players in the installation market. CMS Wistrand's team consisted of Sascha Schaeferdiek, Ólafur Steindórsson, Amanda Luthman and Mikaela Kronmann (all M&A) who were assisted by Amanda Espinasse (W&I insurance), Lovisa Attesjö (FDI notification), Rebecca Wärngren (employment), My Darling (real estate) and Elinor Berg (GDPR).

CMS advised Overture Promotions Inc, on the acquisition of Brandon
Overture Promotions Inc., a top 25 distributor of branded merchandise in the United States, has acquired Brandon, a branded merchandise agency headquartered in Gothenburg, Sweden, with offices in Asia and North America.  The acquisition was backed by Overture’s owner, Westbridge Capital Ltd., a Canadian private equity firm with a long-term view of growing its portfolio companies. Together, Brandon and Overture Promotions form the newly created Overture Marketing Group. CMS is proud to have advised Overture Promotions Inc. on this transaction. The deal was led by CMS Sweden Partner, Per Dalemo, with support from the extensive CMS global network. The transaction exemplifies our expertise in private equity transactions and underscores our ability to deliver seamlessly coordinated, cross-border legal work for our clients. Our teams across multiple jurisdictions, including Shanghai, Hong Kong, and Italy, worked in close collaboration to ensure the successful completion of this deal.

CMS Wistrand has advised Runway Safe AB in making a mandatory public offer to the shareholders of SARSYS AB, together with Tron Capital AB, through the jointly owned company Grundbulten 137100 AB (under name change to CFME Partners AB) On 14 August 2024, Grundbulten 137100 AB (under name change to CFME Partners AB) launched a mandatory public offer to the shareholders of SARSYS to acquire all shares in SARSYS for a cash consideration of SEK 2.70 per share. The shares in SARSYS are admitted to trading on NGM Nordic SME. Runway Safe is a Swedish company founded in 2014 with offices in both Europe and North America. The company specialises in runway safety in the aviation industry and conducts consulting activities in airport infrastructure, including stop systems for commercial aircrafts. Runway Safe has a long-standing partnership with SARSYS under which Runway Safe is the exclusive North American distributor for the SARSYS aviation product programme. Runway Safe's vision of providing knowledge and value-added solutions to improve runway operations and safety in the aviation industry aligns with SARSYS' goal of achieving safe road and runway conditions for vehicles and aircrafts through, among other things, the development and provision of IT systems. The combination of Runway Safe, Tron Capital and SARSYS enables continued support to realise the development plans and growth ambitions of SARSYS for the benefit of all stakeholders, including employees, customers and partners. CMS Wistrand's team consisted of Louise Berlin, Amanda Luthman, Mikaela Kronmann, Hendrik Kangasmuukko and Lars Gahnström.
