Octavian is an associate in the Corporate M&A team at CMS in Romania, who brings a unique combination of legal expertise and an IT background. He developed his expertise in a leading German-speaking law firm as well as during a tenure at a Big4 firm.

Octavian specialises in corporate law with a focus on M&A projects, including business transfer agreements and the establishment of international businesses in Romania.

His practice further covers compliance, data privacy and energy, where he provides strategic legal advice to both global clients and SMEs engaged in complex transactions.

Relevant experience

  • CCE on the sale of Horia Solar Invest Two S.R.L. to Renalfa Solarpro Group, the special purpose vehicle developing the Horia 2 solar project, a 269.227 MW (AC)/293.260 MWp photovoltaic development spanning over 349 hectares in Arad County, Romania.
  • Buildcom Ltd on the acquisition of a controlling shareholding (91.42%) in Argus S.A. and, indirectly, a 95.36% interest in Comcereal S.A. Tulcea from Infinity Capital Investments. 
  • Various German retail and consumer companies on corporate establishment, representation and ongoing corporate governance matters in Romania.*
  • IT and technology businesses on due diligence processes regarding business transfers and corporate restructuring.* 
  • Digital platforms and sports tech companies on subscription, shareholders’ agreements and corporate documentation for investment structures.* 
  • Major real estate and shopping centre operators in CEE on GDPR compliance for marketing initiatives, including Data Protection Impact Assessments.*
  • International shipbuilding groups on shareholder governance, drafting corporate resolutions, and coordination with supervisory bodies.* 
  • Romanian joint stock companies on the legal structuring, planning and implementation of spin offs.* 
  • Web3 and investment platforms on shareholders’ agreements, token based investment structures and implementation support.*
