Ramona Dulamea is Senior Counsel at CMS Bucharest, specializing in energy law and corporate transactions. She has extensive experience advising clients in the oil and gas sector, negotiating various sector-specific arrangements, and supporting companies in their transition to renewables by providing strategic market entry advice. Ramona has coordinated and been involved in key M&A deals in the Romanian energy market and has worked on cross-jurisdictional projects alongside other CMS offices.
Beyond energy, she advises on corporate/commercial matters, real estate, public acquisitions, consumer protection, and environmental law. She has also conducted negotiations in projects such as aircraft financial lease agreements, commercial contracts with domestic and foreign companies, corporate and bank guarantees, and engagements with public authorities, including the National Audiovisual Council of Romania and the National Agency for Mineral Resources. Additionally, she has provided legal assistance to cross-border joint ventures.

Ramona Dulamea has a high degree of specialisation on all energy subsectors, from oil and gas to power trading and renewables. With over 17 years’ experience, Ramona specialises in energy regulatory matters, industry specific contracts (EPC, O&M, TSA & BoP), transactional structuring advice, off-take arrangements. Tailored advice and with a significant market intelligence, Ramona has provided „key turn” commercial and regulatory approaches for implementation of various business solutions on the Romanian market.
Additionally, she is successfully coordinating practices (real estate, environmental etc) involved in complex due diligence activities and intensively engaged in transactional work for renewables projects. She advises clients on a wide range of legal matters, including energy specific financing agreements, specific taxation or windfall taxes applicable to energy field, public procurement regulations in the context of renewables projects (i.e. acquisition of electricity by public munis). As part of her wider experience, Ramona has participated and advised clients in public processes relating to EU subsidies in the renewable sector, as well as working during the implementation of the first CfD scheme in Romania and advising clients during the first round of CfD.
Ramona has been working closely on drafting and/ or contributing to legislative amendments in the energy field (renewable energy, oil & gas, mining), working closely to EBRD and EFET. She was involved in market sounding events and market awareness by speaking at seminars held for various stakeholders (ie banks).
Ramona’s practice also includes negotiations and representing clients in public bids (both national and international); negotiations with various local and foreign state authorities; negotiations of production sharing agreements, LoIs, MoUs, head of terms; assistance on corporate structure and company re-organisation.

Ramona Dulamea has extensive experience in advising international organisations on the public procurement of assets in Romania. Additionally, as part of her advise, Ramona has participated and advised clients on specific tender processes in the oil and gas and renewables sectors, as well as with respect to accessing EU subsidies available for renewable and storage projects in Romania. As part of her wider experience, Ramona has previously conducted cross jurisdictional projects around the Black Sea in tendering processes for subsea mining.
