Rizwan is a partner and head of our Corporate Practice in the Kingdom of Saudi Arabia. He is a Solicitor qualified in England & Wales and is also a member of the Saudi Bar Association. With over 18 years of experience, nine of which have been in Saudi Arabia, Rizwan has significant experience in advising on complex cross-border transactions across a broad range of sectors, including the advertising and media, education, healthcare, oil and gas, mining, trade, transport and logistic sectors.

Rizwan specialises in all aspects of corporate, commercial and competition law matters including incorporating legal entities, joint ventures, mergers and acquisitions, commercial agency, distribution and franchising, commercial contracts as well as corporate restructurings and liquidations.

Rizwan advises clients ranging from small and medium size institutions to multinational corporations providing them with comprehensive and commercially focussed advice.

Relevant experience

  • Informa Middle East Limited (Informa) on the sale of a stake in its subsidiary, Tahaluf Events Limited to the Events Investment Fund (EIF) and Union Company For Exhibitions and Conferences (owned by Saudi Federation for Cyber Security, Programming and Drones (SAFCSP)), to create a strategic joint venture.
  • Arabian Contracting Services Company (Al Arabia), a Saudi listed company, on its SAR 1.05 billion acquisition of the entire issued share capital of Faden Media and Advertising Company.
  • Japanese multinational corporation with restructuring its joint venture in the Kingdom of Saudi Arabia.
  • Saipem on its joint venture with Aramco and Nasser S. Al Hajri Corporation for the establishment of a new joint venture entity in the Kingdom of Saudi Arabia in relation to the Aramco’s Namaat Investment Industrial Programme for the execution of onshore EPC projects in the Kingdom of Saudi Arabia.
  • Client on the sale of a water and wastewater treatment systems and services company in the Kingdom of Saudi Arabia.
  • Multinational food and beverage company on licensing and regulatory matters in the Kingdom of Saudi Arabia. 
  • Investors on a range of matters relating to their investment in hospitals and healthcare facilities in the Kingdom of Saudi Arabia.
  • British multinational logistics company with incorporating one of the first legal entities in the Integrated Logistics Bonded Zone (ILBZ) in the Kingdom of Saudi Arabia.
  • Clients on establishing their Regional Headquarters in the Kingdom of Saudi Arabia.
  • International defence contractors in connection with joint ventures with a KSA partner with respect to the manufacture of military equipment in the Kingdom of Saudi Arabia.
  • International education service providers and schools on setting up schools in the Kingdom of Saudi Arabia.
  • Working in collaboration with international consultancy companies to advise clients, including government owned entities, on establishing specialist colleges and universities in the Kingdom of Saudi Arabia.
