CMS has advised FutureLife Group (FutureLife), a major pan-European provider of fertility, IVF and genetics services backed by CVC Capital Partners and Hartenberg Holding, on the acquisition of a stake in Bahçeci Group, a leading IVF clinic network with six clinics in Turkey as well as international centres in Bosnia & Herzegovina, Bulgaria and Kosovo.

This transaction marks a major step in FutureLife’s ongoing growth strategy and further strengthens its position as a leading provider of reproductive medicine and fertility services across Europe and beyond.

The acquisition involved navigating complex regulatory and healthcare considerations, reflecting the highly specialised and cross-jurisdictional nature of the transaction. The deal will enable FutureLife to expand its international footprint and enhance its offering to patients, while supporting Bahçeci’s continued growth and development within the group.

Helen Rodwell, Partner and Head of the Corporate and M&A practice at CMS Prague, comments: “We’re delighted to have supported FutureLife on this strategic acquisition. The transaction demonstrates the strength of CMS’s cross-border expertise and our ability to guide clients through complex regulatory environments.”

The CMS team was led by Helen Rodwell, with support from Louise Çakar (CMS UAE); Alican Babalioglu, Melis Celik and Eylul Sakoglu (CMS Turkey); Atanas Bangachev (CMS Bulgaria); Zlatan Balta (CMS BIH); and Mirko Daidone (CMS Kosovo). The team provided comprehensive legal counsel on all aspects of the acquisition, including regulatory, healthcare, and cross-border transactional matters.
