Bassam is an Omani-qualified Associate at CMS Oman, licensed to appear before the Primary Courts of the Sultanate of Oman. Since joining CMS in 2018, he has been an integral part of the corporate team in the Muscat office. Throughout his tenure, Bassam has provided invaluable legal guidance to both international and local clients, navigating the complexities of Omani corporate laws and regulations.

Bassam’s expertise encompasses a broad spectrum of corporate matters, including mergers and acquisitions, company incorporations, and conversions. He has also served as a legal advisor to joint stock companies, offering strategic counsel to ensure compliance with Omani regulatory frameworks. His ability to deliver tailored legal solutions across various sectors has made him a key asset within our corporate team.

Relevant experience

  • Oman Investment Fund in relation to an investment in Hay Al Sharq project in Oman including due diligence on the project (including the land to be transferred to the project) and reviewing and negotiating the subscription agreement and the shareholders agreement for National Destination for Leisure and Tourism Company SAOC.
  • Oman Information and Communication Technology Group SAOC (Ithca Group) in relation to the sale of a minority stake in Oman Broadband Company SAOC to Rakiza including extensive negotiations of the sale and purchase agreements and shareholder agreement, broker agreements and ancillary documents.
  • Oman Information and Communication Technology Group SAOC (Ithca Group) in relation to a number of investments in tech start-ups including Innovative Technology for Innovation LLC (Innotech), International Live Solutions LLC (Mubashir) and Global Semiconductor Microelectronics (GSME).
  • Oman Telecommunications Company SAOG (Omantel) in relation to the acquisition of Oman Data Park LLC (ODP), which was founded in 2012, as a joint venture between Omantel and 4Trust LLC. Our advice extended to all aspects of the acquisition, including the drafting, negotiation and finalization of the Sale and Purchase Agreement, Share Transfer Agreement, Constitutive Contract, Resolutions and the management of all related matters at the Ministry of Commerce and Industry.
  • KCA Deutag on the acquisition of USD600 million of Dalma Energy and its subsidiaries. Our advice extended to the negotiation and finalization of the Sale and Purchase Agreement, due diligence on the companies, the re-financing documentation, the local law suite of acquisition documents, the new shareholder documents, the visa conversion process, the re-capitalization of the entities, the consolidation of the entities, name changes and the provision of new security.
  • Jindal Steel and Power (Mauritius) Limited in relation to a sale of shares in Jindal Shadeed Iron and Steel LLC and its two subsidiaries in a transaction that valued the company at over USD 1 billion (enterprise value) including drafting the sale and purchase agreement and disclosure letter.
  • Petrogas E&P LLC in relation to extensive due diligence on its proposed acquisition of one of largest privately held exploration and production companies in the world, with operations in Oman, Angola, UAE, Brazil and Kazakhstan.
  • Arabian Industries LLC in relation to the acquisition of The Oman Construction Company LLC.  Our advice extended to all aspects of the acquisition including the negotiation and agreeing the sale and purchase agreement (including passing through of various rights under a tax deed), share transfer agreement and other documents.

Bassam is an Omani-qualified Associate at CMS Oman, licensed to appear before the Primary Courts of the Sultanate of Oman. Since joining CMS in 2018, he has been a key member of the banking and finance team in the Muscat office. His work involves advising a diverse range of clients, including state-owned companies, multinational corporations, local companies, banks, and financial institutions. Bassam's legal expertise covers a wide array of banking and finance transactions, providing clients with strategic advice in the financial landscape.

His experience includes working on syndicated and bilateral facility agreements, conventional and Islamic financing, as well as hybrid transactions. Bassam has navigated transactions across numerous sectors, including technology, real estate, energy, and utilities, ensuring that clients comply with both local and international regulations when required. His in-depth understanding of the banking and finance industry has made him a valuable member in our banking and finance team.

Relevant experience

  • Oman Broadband Company SAOC - Acted as English and Omani counsel, in relation to the financing of OMR 171 million (approx. USD445 million) using a hybrid conventional term loan and diminishing musharaka structure with five conventional banks and three Islamic institutions. The financing is to partially refinance an existing facility with the Asian Infrastructure Investment Bank and partly to fund its capital expenditure on broadband infrastructure. My role included leading the transaction for OBC from term sheet until first drawdown of the facilities and the drafting of the common terms agreement, the conventional facility agreement, the Islamic financing agreements and the subordination deed under English law even though we are acting for the company.
  • Meethaq Islamic Banking Bank Muscat SAOG - Acted as English and Omani counsel, in relation to a project financing of a produced water project in Al Ghubrah, Oman using a Shariah-compliant istisna’a ijarah structure for a consortium led by Suez. My role included leading the transaction for Meethaq drafting and negotiating the Islamic financing documents, security documents and a subordination agreement with the equity bridge lender, taking the project from lender’s term sheet to financial close. Following the merger of Veolia and Suez, we have amended the finance documents to reflect changes in the Suez group.
  • Omani Hospitality Company SAOC - In relation to the refinancing of the Kempinski Hotel for OMR 65 million which was financed in part by a conventional term loan and in part by Islamic financing using the musharaka structure. Subsequently, we restructured this facility following certain agreements between the parties in line with the Central Bank of Oman’s Covid directives.
  • Oman Tower Company LLC – In relation to its facility agreement with Bank Dhofar SAOG in relation to a corporate facility for OMR 30 million to refinance an existing facility and to fund capital expenditure.
  • Oman Tower Company LLC - In relation to its facility agreement with Bank Muscat SAOG in relation to the construction, development and maintenance of over 800 telecommunication towers.
  • KCA Deutag Energy LLC – We advised KCA on the local law issues for the financing of two land rigs (rigs 1 &2) by Oman Arab Bank SAOG.  The land rigs are the first land rigs to be built in Oman.  The land rigs were constructed to provide services to Petroleum Development Oman (PDO) under two service contracts.  Our role included setting up a new special purchase vehicle, drafting local security documents and providing an Omani law legal opinion.
  • KCA Deutag Energy LLC – We advised KCA Deutag Energy LLC with local law issues for the financing of two further new rigs (rigs 3 & 4) being financed by Oman Arab Bank SAOG to service a new contract with Petroleum Development Oman (PDO), including drafting local security documents and providing an Omani law legal opinion.
