Bassam is an Omani Qualified Lawyer at CMS Oman. He is part of the corporate and banking and finance teams in Muscat, he works closely with his colleagues in the dispute resolution team as well. He has been involved in a wide range of corporate matters as well as dispute resolution matters. Bassam is licensed to appear before Oman’s Primary Courts. 

Bassam has worked on corporate matters ranging from mergers and acquisitions, company formations, drafting and reviewing agreements, acting as legal advisor to joint stock companies in their general meetings, as well as providing international and local clients with corporate legal advice. His Banking and Finance experience includes advising clients on real estate finance, corporate finance and project finance, he has also been involved with preparing a suite of documents for clients in relation to commercial and legal mortgages. Bassam has worked on litigation matters and arbitrations, his experience includes representing and advising clients on commercial, civil and employment litigation matters.

  • An Oman utility procurer in a claim brought by a utility project bidder.
  • A downstream oil marketing public joint stock company in a commercial claim brought forward against a state-owned company.
  • A global refractory manufacturer headquartered in Germany in a claim brought against it and 5 other EPC contractors in an insurance claim. 
  • BTA  on all aspects of their corporate setup and ongoing operations in the new Muscat Airport, including all aspects of their commercial and corporate law matters, including company set-up, visa clearances, branch office development, constitutive contract amendment, corporate approvals and the addition of authorised managers and signatories to the commercial registration.
  • KCA Deutag on the acquisition of USD600 million acquisition of Dalma Energy and its subsidiaries. Our advice extended to the negotiation and finalization of the Sale and Purchase Agreement, due diligence on the companies, the re-financing documentation, the local law suite of acquisition documents, the new shareholder documents, the visa conversion process, the re-capitalization of the entities, the consolidation of the entities, name changes and the provision of new security.
  • Oman Telecommunications Company SAOG (Omantel) in relation to the acquisition of Oman Data Park LLC (ODP), which was founded in 2012, as a joint venture between Omantel and 4Trust LLC. Our advice extended to all aspects of the acquisition, including the drafting, negotiation and finalization of the Sale and Purchase Agreement, Share Transfer Agreement, Constitutive Contract, Resolutions and the management of all related matters at the Ministry of Commerce and Industry.
  • Omani Hospitality Company SAOC in relation to OMR65 million refinancing of the Kempinski Hotel which is financed in part by a conventional term loan and in part by Islamic financing using the Musharaka structure which included an Omani law share pledge, commercial mortgage and legal mortgage.
  • Al Osool Real Estate Development Company LLC in relation to an agreement between the Islamic financing (through a Forward Ijarah structure) of the development and the recommended conventional lender for the purchase of units by the end user.
