Ayman Alemary is a Saudi-qualified lawyer in the CMS Corporate practice. He specialises in corporate law, corporate governance, regulatory compliance and strategic legal advisory. He advises state-owned entities, sovereign wealth fund-backed companies, multinational businesses and corporate groups on corporate structuring, joint ventures, shareholder arrangements, governance frameworks, internal policies and regulatory matters in Saudi Arabia. 

Before joining CMS, Ayman gained experience in international law firm practice and in-house roles, including work on major projects and within state-backed organisations.

He is experienced in a broad range of corporate and governance matters, including delegations of authority, reserved matters, board and shareholder-related issues, internal investigations and compliance-sensitive advisory work. He assists clients in managing legal and regulatory risk, structuring internal decision-making and addressing corporate issues in a practical and commercially focused way.

  • An anonymised sovereign wealth fund-backed technology joint venture on shareholder governance, reserved matters, board and general assembly approval structures, the redesign of its authority matrix, and internal allocation of decision-making powers.
  • An anonymised client in relation to the review and enhancement of conflict of interest and related-party transaction governance within a joint venture environment.
  • An anonymised state-backed client on the incorporation and governance of more than 20 subsidiaries and joint ventures in Saudi Arabia.
  • An anonymised client in relation to the incorporation and post-establishment governance of subsidiaries and joint ventures in Saudi Arabia.
  • An anonymised public sector client on the updating of nine governance documents, including board and committee charters and delegated authority frameworks.
  • An anonymised multinational client on corporate and regulatory considerations arising from its operations and strategic business activities in Saudi Arabia.
