Director’s responsibilities and current practices

On the 25th anniversary of the implementation of the Companies Act in the Republic of Croatia, we are pleased to announce the launch of a series of business breakfasts organised by the Law Firm Bardek, Lisac, Mušec, Skoko d.o.o. in cooperation with CMS Reich-Rohrwig Hainz.

The theme of our business breakfasts will be compliant business.

We are pleased to invite you to the first business breakfast in this series, to be held on 4 February 2020 in our office at Ilica 1, 10000 Zagreb. During this first business breakfast, we will provide you with an overview of basic CEO liability policies through practical examples.
What are the circumstances and the scope of a director’s liability? How can they be held liable in the event of unlawful acts? Who is responsible for the company's unpaid obligations? How is misdemeanour and criminal liability determined? When is a director liability for damages and to whom? What are the trends and challenges ahead, what does the practice say, and how do we protect ourselves from the negative effects of noncompliance?

Entrepreneurs and board members as well as national and supranational institutions are increasingly demanding in terms of compliance requests, be it sectoral constraints or legal systems. In our everyday professional lives, it is difficult to find the time and resources to stay informed about the business and personal responsibilities that these director positions bring. During our series of business breakfasts on the topic of compliant business, as well as covering the responsibilities of directors, we will present the news and interesting facts in the field of competition protection, data protection, whistle-blower protection, and an overview of recommended procedures in the event of dawn raids or actual liability.
