Victoria is a Partner in the Corporate Commercial Department of the Firm. With over 16 years of experience, Victoria possesses deep knowledge of corporate and company secretarial law and has advised both local and international clients across a broad spectrum of corporate, commercial, and governance matters.

Over the course of her career, she has been involved in a wide range of complex corporate transactions, including restructuring, regulatory compliance, corporate governance audits, and cross-border advisory work. Her practice includes advising clients on company law, regulatory frameworks, statutory compliance, and the evolving requirements of corporate governance.

Victoria has supported clients in various sectors including financial services, real estate, telecommunications, and manufacturing. Her work has seen her play a key role in supporting corporate reorganisations, board advisory mandates, and the structuring of special purpose vehicles, including for capital raising purposes.

In addition to her core legal practice, Victoria works closely with company boards and executive teams, offering strategic legal input on matters of risk management, director duties, shareholder rights, and stakeholder engagement.
Her passion for building strong, compliant, and sustainable businesses extends to her advisory work with start-ups, SMEs, and family-owned enterprises on structuring and governance best practices.
 

Relevant experience

  • Successfully defended a shareholder dispute via arbitration proceedings resulting in a successful defense against a claim for over Kshs.700 Million.
  • Successfully negotiated favourable terms for existing shareholders in the sale of shares in a commercial bank in Kenya.
  • Developed a comprehensive corporate governance checklist for a fin-tech organization operating in over 20 countries in Africa and Middle-East. 
  • Developed an ESG policy for an investment firm and for its investee firms.
  • Successfully oversaw the digitalization of over 100 companies through linking on BRS Platform and ensuring up to date compliance.
