Brian is a Principal Associate at CMS Kenya | Daly Inamdar Advocates within the Corporate M&A, Commercial practice. He is an Advocate of the High Court of Kenya with experience advising local and international clients on a broad range of corporate, commercial, financing, regulatory, and transactional matters.

His primary area of practice is Corporate & Commercial law and a niche focus in the technology, media & communications as well as data protection and policy. 

He has substantial experience in both Corporate M&A transactions & Regulatory work. In his capacity as a Corporate lawyer, he has been involved in a range of private equity matters, mergers and acquisitions cutting across a range of specialist sectors including technology media and communications, fintech, aviation, banking, insurance construction and projects. 

Relevant experience

  • Key member of the core deal team delivering the end-to-end execution of a strategically significant over USD 30 million divestment of a majority stake in one of Kenya’s largest insurance groups, playing a leading role in drafting transaction documentation and advancing structuring, regulatory, and competition workstreams, within a complex cross-border framework.
  • Involved in advising international private equity firm for its investment of USD 4 million into a multi-national agricultural project.
  • Involved in advising global social media network ByteDance (TikTok) on the regulatory framework in Kenya.
  • Involved in advising global telecommunication company in restructuring of its Kenya group to comply with Kenyan local content regulations around telecommunication companies.
  • Involved in advising a leading global payments technology company on the rollout of cross-border account-to-account fund transfer solutions supporting P2P, B2B and B2P flows and contributed to the structuring and regulatory analysis for financial institution and corporate service offerings, delivering commercially aligned, multi-jurisdictional guidance within the evolving global payments and fintech landscape.
  • Involved in advising global aircraft leasing company on repossession of various aircraft in Kenya.
  • Involved in a wide range of commercial advisory matters in relation to Google LLC/Alphabet.
  • Involved in a wide range of commercial advisory matters in relation to Amazon Inc.
  • Advising and structuring various payment system service providers and fintech companies setting up in Kenya.
  • Advising, preparation and structuring various employment structures for companies in Kenya.
  • Involved in a wide range of commercial advisory matters in relation to data privacy regulation in Kenya, including registration and compliance.
  • Involved in a wide range of commercial advisory matters in relation to employment and labour relations, technology, media & communications, business restructuring, legal compliance and energy.
