CMS Slovakia has advised AM Group Holding, a leading provider in the B2B distribution and manufacturing of premium aftermarket vehicle parts for luxury vehicle customization, on the Slovak part of its acquisition of the business operations of UBC Composites GmbH.
The Slovak component involved the acquisition of UBC Composites Slovakia, the Slovak subsidiary, which formed a critical part of this multi-jurisdictional deal.
UBC Composites is a prominent European specialist in high-quality carbon fibre components used in both aesthetic and structural applications.
This strategic acquisition was executed through a transferable restructuring process stemming from a German insolvency proceeding under self-administration.
The CMS Slovakia team was led by Juraj Fuska, Managing Partner at CMS Bratislava, and supported by Demian Boška and Martin Melicher (both Corporate/M&A). The team played a central role in the negotiations with the seller and conducted comprehensive legal due diligence, advised on all aspects of insolvency and restructuring, prepared the key transaction documentation necessary to complete the deal, and assisted with post-completion matters.
