Oliver Göndör is an associate in the Corporate/M&A team at CMS Slovakia. He advises clients on various local and international M&A, corporate restructurings, commercial contracts and ongoing corporate matters across sectors including telecommunications, automotive, energy, real estate, healthcare, technology, retail, manufacturing. His experience covers complex cross-border transactions, private equity investments, intra-group mergers and restructurings, refinancing deals and regulatory compliance projects. 

Oliver combines analytical and technical precision with a business-driven approach, guiding clients through buy-side and sell-side transactions, including preparing due diligence reports, negotiation support, and drafting transaction documentation. He also assists with post-closing integration, addressing both legal and strategic business issues.

In addition to transactional work, Oliver supports multinational and global clients with corporate housekeeping and the day-to-day management of their portfolio companies. For some clients, this includes coordinating the implementation of group decisions across more than 15 local subsidiaries. He is also responsible for registrations in the Register of Public Sector Partners, ensuring compliance for entities doing business with the state.

Relevant experience

  • EBRD on 10m investment for GymBeam in the Q3 of 2025 30m investment round.
  • A client on a complex cross-border acquisition of Czech company Radium s.r.o., advising on the due diligence, as well as in processing all of transaction documentation, including the SPA, closing of the transaction and post-closing matters.
  • A client on the Slovak corporate law stream of a highly complex cross-border acquisition of real estate assets in the form of cross-border sale-and lease back - high-profile transaction.
  • Slovak Investment Holding and US HNWI on a pre-seed investment in a Slovak start-up UAV software start-up with an entertainment and civilian business case although with potential for military applications.
  • On the Slovak segment of a complex cross-border transaction involving the acquisition of a company that owns four buildings and 138,209 sq. m. of development land with six tenants.
  • On corporate and transactional matters in a deal concerning an SPV operating a real estate asset consisting of 25,000+ sq. m. of commercial space.
  • On the prospective acquisition of a major telco infrastructure company in Slovakia, including assessing FDI, FSR and Anti-monopoly clearance and all aspects of regulatory compliance in a highly regulated telecommunications sector.
  • Eterus Capital, a PE fund targeting SMEs with growth potential, on an earnout leading to the issuance of new shares in MTBiker, the largest cycling ecom. retailer in Eastern Europe.
  • Various international clients (energy, manufacturing, automotive, brokerage of financial services) on complex internal corporate restructuring processes in preparation for investing, divesting or selling part of their business, complying with regulatory requirements, funding injections, or as a result of carving out distressed assets.

Oliver Göndör is a member of the Commercial Regulatory team in CMS Slovakia. Oliver participates in commercial regulatory matters as well as related contractual and litigation matters. Oliver advises local and international clients on their ongoing sector specific regulatory matters, including (consumer protection, streaming services, gaming and betting and tobacco, ride sharing services, payment services). 

Oliver further focuses on crypto assets and is a member of the CMS CEE crypto group, which brings together legal experts from multiple disciplines across the firm to provide support on projects including giving regulatory advice to financial institutions, investors and crypto asset service providers, as well as control, ownership, valuation and tracing of crypto assets, and Anti-Money Laundering and compliance.

Oliver also enjoyed pro bono work for the non-profit organization Nadácia Zastavme korupciu, where he represented the client in an administrative court dispute concerning the right to free access to information. Together with the team, Oliver secured a victory for the client before the Administrative Court in Bratislava, which was later upheld by the Supreme Administrative Court of the Slovak Republic.

  • A leading South Korean tobacco company on regulatory advice, including a regulatory landscape review regrading the tobacco business in Slovakia.
  • Klarna Bank AB, one of Europe’s largest FinTech’s providing payment solutions to millions of customers, on its market expansion into various European markets, including Slovakia. 
  • Handling Public Sector Partners Register registrations.
  • Several companies on the provision of comprehensive regulatory and commercial advice regarding the establishment of a crypto service provider.
  • Electolux on review of the GTCs for all their offered services and analysis of the consumer journey from the regulatory perspective, and reviewing and drafting the terms and conditions under new consumer regulation. 
  • A garden tools manufacturer and retailer on commercial matters related to the on the setting up of an e-shop as well as an analysis of the consumer journey from the regulatory perspective.
  • An international ride-sharing company on corporate and commercial regulatory matters, including, consumer protection and a risk assessment in launching a new service.
