CMS Wistrand advises longstanding client Vertiseit on the acquisition of Scala
CMS Wistrand has acted as lead legal adviser to Vertiseit AB (publ) in connection with its acquisition of Scala, a global provider of Digital Signage software. Through the acquisition, Vertiseit strengthens its position for continued international expansion, increasing the group’s presence in North America and other key markets.
The acquisition provides Vertiseit with an established software platform, together with approximately SEK 85 million in annual recurring revenue. The purchase price amounts to approximately SEK 265 million and is financed through a combination of credit facilities and a directed share issue.
CMS Wistrand coordinated the transaction closely with CMS member firms across several jurisdictions, as well as with external counsel in the United States. CMS Wistrand advised on and negotiated the acquisition agreement, coordinated multi-jurisdictional due diligence processes, and assisted with matters relating to the bank financing and directed share issue. The engagement also included customary signing and closing procedures, together with the associated agreements and documentation.
