With over 12 years of experience with CMS in Sarajevo Sanja Voloder has developed an outstanding expertise in Corporate/M&A matters which, with her specialised knowledge in Banking and Finance matters, make her an extraordinary advisor on project finance transactions for large financial and corporate institutions such as the EBRD, IFC and other both development and commercial institutions. This is also due to her extensive experience in the UK as a UK-educated lawyer, as well as her background as a lawyer and researcher for the University of Cambridge, including a mini-secondment with the firm's London office in 2014.

The above international expertise, together with an excellence in local law, allows Sanja Voloder to support large international clients seeking to invest in local businesses. Further to assisting in the usual challenges clients face when entering the BiH market, she is particularly skilled in integrating the complex corporate and banking structures with the local market, whose main actors often lack experience in this area. She thus provides excellent advice in efficiently structuring, contracting and implementing such arrangements in accordance with the local regulatory requirements and under the existing commercial conditions. Sanja Voloder understands the needs of international clients and provides practical input and ongoing client support throughout the case, support that is unprecedented in the local market.

Sanja Voloder is also admitted to the bar in England and Wales and advises on real estate and project finance transactions under this legal framework as part of the CMS English law teams. 

As of late, Sanja is strongly focusing on ESG matters – an ever-growing challenge and opportunity for companies and institutions. She is heavily involved in raising awareness concerning ESG in the local markets and assists clients in managing the unknowns of this new and heavily changing sphere of business dealings.

Sanja is a counsel at the CMS Sarajevo office and heads the office's TMC practice and team. She focuses on commercial, technology, regulatory and data protection matters within this side of her practice. Sanja has extensive experience in handling complex regulatory issues in the areas of media law, data protection and commercial law. Sanja advises multinational media and technology companies on all legal aspects to enable their successful local market expansion or seamless business dealings in Bosnia and Herzegovina. 

Sanja and her team are particularly praised for their ability to advise on complex and novel technological solutions and products from the perspective of the local developing regulatory frameworks and markets which, more often than not, are encountering such solutions for the first time.  Sanja and her team take a practical and enthusiastic interest to understanding each client’s service and/or product and thereafter applying the relevant rules towards a regulatorily compliant solution - an approach which is highly appreciated by the CMS Sarajevo TMC client base.
 
Sanja is also fully authorised as an Intellectual Property representative by the Intellectual Property Institute of Bosnia and Herzegovina and licensed to represent in court. Her main areas of intellectual property law expertise are in trademark, industrial design and copyright laws.

  • Advising the US corporate consortium on various commercial and consumer protection law issues arising out of the entities’ launch of its new blockbuster entertainment streaming platform in Bosnia and Herzegovina. 
  • Advising a US multinational technology corporation on online advertising tools and regulatory implications under the local legal framework.
  • Advising a US multinational technology corporation on the planned introduction of its gaming and digital platform service in Bosnia and Herzegovina involving consideration of various complex and new tech aspects of the platform under the local legal framework.  

Intellectual Property

Selected IP experience includes:

  • Advising on various aspects of trademark, industrial design and patent law, including registration and protection matters, maintenance procedures, contractual issues such as assignment of rights, infringement procedures, ceases and desist letters, representation in front of the Intellectual Property Institute of Bosnia and Herzegovina,
  • Lead and mediated several intra-company negotiations during potential intellectual property infringement cases towards amicable and out-of-court settlement procedures,
  • Specific experience on protection of geographical indications and conflicts with other IP rights,
